WSP USA Associate General Counsel - Energy, Resources and Industry in Toronto, Ontario

The Opportunity:

WSP is currently seeking a legal professional to assume the pivotal role of Associate General Counsel for its Energy, Resources and Industry (ERI) sector, to be based in Toronto and work with the Canadian ERI leadership team and operations. Reporting to the Chief Legal Officer of WSP Canada and a member of the ERI leadership team, this individual will be responsible for leading the ERI legal team through strong alliances within the ERI leadership.

What you can expect to do here:

  • Champion the ERI business sector as the primary legal strategist and lead legal business partner, driving excellence and innovation;

  • Lead the provision of proactive legal support to internal clients, fostering a culture of collaboration and stakeholder engagement;

  • Participate actively as part of the ERI leadership team, contributing to both ERI and the WSP Canada Senior Legal Leadership Team, driving initiatives to improve business processes and optimize efficiencies;

  • Steer legal oversight for all strategic business initiatives, ensuring alignment with WSP Canada’s vision, mission, strategic pillars and sector goals;

  • Direct the ERI legal team in delivering exceptional legal support for contract lifecycle management, dispute resolution, commercial negotiations and contractual interpretations within the ERI sector;

  • Assess and manage the legal risk profile of business opportunities and RFPs, presenting informed recommendations to internal decision-making committees;

  • Ensure strict legal compliance for all commercial activities within WSP’s internal authorization matrix, safeguarding the ERI sector’s integrity;

  • Foster collaboration with other internal legal teams in Canada and in the other jurisdictions, particularly for ERI sectors globally, sharing best practices and insights to strengthen WSP Canada Legal’s position worldwide;

  • Integrate with cross-functional teams to provide comprehensive legal oversight, supporting areas such as Ethics & Compliance, Finance, Risk, Communications, Project Delivery, HSE and Operations;

  • Disseminate essential legal knowledge pertaining to relevant federal and provincial laws and regulations to the ERI leadership team, ensuring informed decision-making;

  • Mentor and cultivate the ERI legal team, focusing on professional growth and succession planning to build a resilient legal team.

  • Be a subject-matter expert (SME) on all Mining and Engineering, Procurement and Construction (EPCM) contracts matters, providing guidance and strategic advice and counsel to the WSP Canada business.

What you’ll bring to WSP:

  • Licensed as a member in good standing of the Bar of Ontario;

  • Minimum of 15 years of relevant experience as a lawyer, preferably in-house, including senior management experience, demonstrating a history of leadership and legal acumen;

  • Extensive 15-year background in the Mining, Energy, Oil & Gas and Renewables industries, showcasing sector-specific expertise

  • Proven track record of negotiating EPCM contracts and alternative delivery contract models such as alliance agreements and integrated project delivery (IPD) agreements for a minimum of 15 years

  • Demonstrated leadership in managing a legal team, with a focus on talent development and succession planning;

  • Strategic advisor with experience in guiding leadership teams and executive management, influencing high-stakes decisions;

  • Analytic prowess and risk management expertise, with a proven ability to navigate litigation and dispute resolution efforts and provide strategic counsel and advice;

  • Collaborative spirit with the ability to unite a wide array of stakeholders within a multidisciplinary team, pinpointing strategic legal collaboration opportunities;

  • Financial acuity to advise the Finance team, including a deep understanding of financial statements (ex. taking reserves and provisions, EBITDA, EAC, DLM, DSO etc.) and budget management for the sector;

  • Experience in Health & Safety related matters and understanding of legal framework;

  • Experience in related and adjacent fields of the ERI sector including environment, transport and infrastructure, property and buildings and major projects is strongly preferred;

  • Construction project expertise, with experience in drafting, negotiating and managing teaming agreements, joint ventures, consortia, subcontracts and consultant agreements;

  • Exceptional presentation and communication skills, with a proven ability to articulate complex legal concepts and strategies to senior management, ensuring clarity and decisiveness in high-level communications;

  • Advanced negotiation skills, capable of finding common ground and fostering mutual respect in high-stakes discussions;

  • Strong emotional intelligence, with the ability to navigate complex interpersonal dynamics and maintain poise under pressure;

  • Decisive problem-solving, with a knack for identifying issues quickly and crafting effective, strategic solutions.
